Terms of Business
These Terms of Business set out the basis on which RJ Strategic Advisory provides strategic advisory, governance, compliance-support, communications, crisis-management and coordination services.
Nature of Services
RJSA provides strategic advisory services for SMEs. Services may include governance and compliance-support, strategic communications, crisis-management coordination, specialist coordination, readiness reviews, response planning and related advisory support. RJSA does not provide legal advice, legal representation or reserved legal services.
Scope of Work
The scope of any engagement will be agreed in writing before work begins. The agreed scope may be set out in a proposal, engagement letter, service agreement, email confirmation or other written instruction accepted by RJSA. Work outside the agreed scope may require a separate proposal or fee arrangement.
Client Responsibilities
Clients are responsible for providing accurate information, timely instructions and access to relevant documents, personnel and context required for the agreed work. Clients remain responsible for business decisions made during or after RJSA's involvement.
Fees and Payment
Fees will be agreed in advance or set out in a proposal. Fees may be fixed, staged, retainer-based or otherwise agreed in writing. Payment terms will be stated in the applicable proposal, invoice or engagement document.
Independent Specialists
Where specialist expertise is required, RJSA may work alongside or coordinate independent specialists. Such specialists remain independent and may require separate engagement terms, fees and professional instructions.
Confidentiality
RJSA will treat client information as confidential, subject to legal, regulatory or professional obligations and any agreed exceptions.
Limitation
RJSA's services are strategic advisory services and should not be treated as a substitute for regulated professional advice where such advice is required.
Governing Law
Unless otherwise agreed in writing, RJSA's engagement terms shall be governed by the laws of Ireland.
